OFFICIAL CONTEST RULES Brit + Co. Super Bowl Recipe Challenge (the “Contest”) begins at 10am PST, January 29, 2014 and ends at 10am PST, February 6, 2014 (the “Contest Period”). The contest Parties include Brit Media, Inc. (the “Sponsor”) and Del Monte Corporation (collectively the “Contest Entities”). The Contest and all entries, including the photo submissions, are subject to and governed by the Brit Media Terms of Service, Brit Media Privacy Policy and the additional terms herein. By entering this Contest, you agree to abide by the terms of these Official Contest Rules and by the decisions of Sponsor, which are final and binding on all matters pertaining to a contest. NO PURCHASE NECESSARY TO ENTER OR CLAIM PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Each entrant may submit up to five photos. If Entrant submits more than five photos, the first five photo submissions received will be submitted to the judges and each subsequent photo will be disqualified. Participation in the Competition is voluntary and does not require you to purchase anything from the Contest Parties. No illegible, incomplete or forged entries will be accepted. All entries become the property of the Sponsor and no entries will be returned. For clarity and without limitation, the Contest Entities may reproduce, modify, display and otherwise use the photograph, or portions thereof, for promotional purposes in any medium without additional compensation. OWNERSHIP/USE OF ENTRIES: By submitting an entry, you agree that the Contest Entities and their designees may edit, publish, use, adapt, exploit, modify, copy, disseminate or dispose of any entry, the concepts embodied therein or any elements thereof, proper names, online, in print, film, television, social media, or in any other media now known or hereafter devised for advertising and promotional purposes worldwide in perpetuity without compensation or notification to or permission from the participant of any kind, except as prohibited by law. ELIGIBILITY: Contests are only open to legal U.S. residents who are at least 18 years of age at date of entry. Employees of Contest Entities, as well as their immediate family members and/or persons living in their households; as well as all of Contest Entities’ agents, affiliates, subsidiaries, divisions, advertising and promotion agencies are not eligible to participate in any contest. Entrants who do not comply with these requirements or these Official Contest Rules are not eligible to compete or win a prize. NO PURCHASE NECESSARY TO ENTER OR TO WIN. ALL U.S. FEDERAL, STATE, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED. CONTEST PERIOD; DEADLINE: The Competition begins on January 29, 2014, at 10:00 am PST in the United States and ends on February 6, 2014, 10:00am PST (the “Competition Period”). Dates and times are subject to change. CONTEST CRITERIA: Photos submitted in connection with this Contest must include a homemade snack using at least one product similar to or an actual Del Monte® canned product, a description of the recipe is preferred but not required, and photos must be submitted as a jpeg, gif, or png, must be smaller than 200Mb, and have minimum dimensions of 160px x 160px.. Winner(s) will be selected among all eligible entries based on satisfaction of the Contest Criteria, composition and overall quality, creativity, originality, and overall impression. By entering the contest, entrant warrants that he or she is the sole designer, creator, and owner of the entry, including all visual components, and that the work does not contain, incorporate or otherwise use any content, material or element that is owned by a third party or entity, or that violates a third party’s publicity, privacy or intellectual property rights. Entrant must have obtained all necessary releases from any persons or related to any subject matter appearing in each entry. Selection of Winners. The Sponsor, in its sole and absolute discretion, will select the two winners. One (1) First Place Winner will receive a $300 Williams-Sonoma Gift Card and one (1) Second Place Winner will receive a $100 Williams-Sonoma Gift Card from among the eligible entries based on satisfaction of the Contest Criteria, compliance with these Official Rules, composition and overall quality, creativity, originality, and overall impression. Decisions of the judges are final and binding. If a potential winner is unable for whatever reason to accept his or her prize, the Contest Entities reserve the right to award the prize to another entrant. WINNER NOTIFICATION: Sponsor will notify each Winner within ten (10) business days after the end of the Contest Period via e-mail to the winner’s registered e-mail address (the “Winner Notification”). A winner must respond to the Winner Notification from his/her registered e-mail address within 48 hours of receipt of the Winner Notification and, in order to be eligible to accept a prize, must include in such response: (i) winner’s full legal name, (ii) current residential mailing address, (iii) phone number, and (iv) date of birth. If a winner fails to respond to the Winner Notification in the time and in the manner required, or if a Winner Notification is returned as undeliverable, such Winner will be disqualified and will be deemed to have forfeited his/her prize. It is the sole responsibility of an entrant to notify Sponsor of any changes in his/her name and/or address. Each winning entrant must sign and return any documents, if requested, within the time period stipulated by the Sponsor. Failure to comply with this requirement may result in disqualification. Any notification returned as undeliverable may result in disqualification and the prize will be awarded to another entrant. A list of the winner(s) will be provided upon request. PRIZES: The prize(s) of a contest, its approximate value, and any other prize details will be listed on the Contest Description Page for that particular contest. One (1) First Place Winner will receive a $300 Williams-Sonoma Gift Card and one (1) Second Place Winner will receive a $100 Williams-Sonoma Gift Card. A contest prize is non-transferable, non-redeemable for cash and may not be applied as a credit towards a different Sponsor offering. The Sponsor reserves the right to substitute a prize, in whole or in part, of equal or greater monetary value if a prize cannot be awarded, in whole or in part, as described for any reason. All taxes associated with the receipt or use of a prize is the sole responsibility of a winner. Sponsor reserves the right to withhold any taxes as required by applicable law. Privacy: Entrants agree that personal data submitted with an entry, including name, mailing address, phone number, and email address may be collected, processed, stored and otherwise used by the Contest Entities and their affiliates for the purposes of conducting and administering the Contest. The Contest Entities may also use your personal information to send you updates and promotional materials, including advertising, from time to time. The Entrant’s personal data may be displayed along with Entrant’s photograph on one or more of the Contest Entities’ website. If you share your entry with your Facebook or other social media site, or if you tag your photograph posted to the Sponsor’s Facebook page, your photograph may be linked to your Facebook timeline and may be visible for others to see, as permitted by your applicable privacy settings. If you “Like” a photograph posted to the Sponsor’s Facebook page, or if you “Like” the Sponsor’s Facebook page, Sponsor may receive information about you, including your profile information and Friends connected to you on the social network, from Facebook, as permitted by your applicable Facebook privacy settings. Please note that once information is shared on social media it may not be possible to delete it entirely. We urge you to review your social network privacy settings to learn more about how your information is shared through the social network. DISCLAIMER AND LIMIT OF LIABILITY: CONTEST ENTITIES MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING ANY PRIZE OR ENTRANT’S PARTICIPATION IN ANY CONTEST. CONTEST ENTITIES SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS, DAMAGE, COST, OR INJURY THAT ARISES FROM OR RELATES TO PARTICIPATION IN THE CONTEST, OR WINNING OR USE OF A PRIZE, INCLUDING BUT NOT LIMITED TO: (1) LATE, LOST, DELAYED, DAMAGED, MISDIRECTED, INCOMPLETE, OR UNINTELLIGIBLE ENTRIES; (2) TELEPHONE, ELECTRONIC, HARDWARE OR SOFTWARE PROGRAM, NETWORK, INTERNET, OR COMPUTER MALFUNCTIONS, FAILURES, VIRUSES OR DIFFICULTIES OF ANY KIND; (3) FAILED, INCOMPLETE, GARBLED, OR DELAYED COMPUTER TRANSMISSIONS; (4) THE UPLOADING OR DOWNLOADING OF ANY MATERIAL IN CONNECTION WITH A CONTEST; AND (5) ANY OTHER CONDITION THAT MAY CAUSE THE CONTEST TO BE DISRUPTED OR CORRUPTED. CONTEST ENTITIES RESERVE THE RIGHT, IN THEIR SOLE DISCRETION AND WITHOUT PRIOR NOTICE, TO SUSPEND OR CANCEL ANY CONTEST OR ALTER THE RULES FOR ANY REASON, INCLUDING BUT NOT LIMITED TO ALTERATION OR CORRUPTION OF THE ADMINISTRATION OF THE CONTEST BY COMPUTER VIRUS, TECHNICAL PROBLEM, OR OTHER UNFORESEEABLE EVENT. THIS CONTEST IF VOID WHERE PROHIBITED OR OTHERWISE RESTRICTED BY LAW. RELEASE BY ENTRANTS: By entering the contest, each entrant indemnifies, releases and agrees to hold harmless the Contest Entities and their parents, subsidiaries, affiliates, owners, employees from any liability whatsoever for any claims, costs, losses, or damages of any kind (including, but not limited to those related to, personal injury, death, damage to property, infringement of proprietary rights, rights of publicity, or privacy or defamation and attorney fees) arising out of or in connection with: (1) entering a contest; (2) acceptance or use of any prize; or (3) any other act or omission arising out of or relating to the contest. MISCONDUCT: Sponsor reserves the right at its sole discretion to disqualify or refuse entry to any person who (i) tampers with the registration process, the operation of a contest or a Sponsor web site; (ii) acts in an unsportsmanlike or disruptive manner, or with the intent to annoy or harass another person; or (iii) is otherwise in violation of these Official Contest Rules. GOVERNING LAW: Contests shall be governed by and construed in accordance with the laws of the State of California, applicable to contracts made and performed therein without reference to conflicts of law principles. All actions, proceedings, or litigation relating hereto will be instituted and prosecuted solely in San Francisco County, California. The parties consent to the jurisdiction of the federal and state courts located in the San Francisco County, California, with respect to any action, dispute, or other matter pertaining to or arising out of any contest. INTELLECTUAL PROPERTY: Contests and all related web pages and code are the property of Sponsor. Any copying or unauthorized use of Sponsor’s copyrighted materials, trademarks or any other intellectual property without Sponsor’s express written consent is strictly prohibited.
